This section explains the Terms and Conditions that apply to the projects you create, the rewards you offer and the pledges or other contributions your make. It also focuses on the relationship between Project Creators and Backers.

LEOcrowd’s Role

LEOcrowd is an online platform that allows Project Creators to pitch their ideas to a community of Backers, to raise finance for their idea, in return for Rewards. It also allows Backers to pledge monies to those projects they wish to support. It is free to create a Project on our Platform.

Although we help to facilitate this coming together of Backers and Project Creators, LEOcrowd is not responsible for the management of, or the use of Pledges in relation to a Project and we have no direct input into the fulfilment of the rewards. Once a Backer pledges towards a Project, he/she is agreeing to the terms set out by the Project Creator for the fulfilment of the Rewards and any other agreement made directly between the Project Creator and Backer (in effect forming a contract between the Project Creator and the Backer). LEOcrowd have no part of this agreement and do not legislate between Project Creators and Backers.

We may at times, promote certain projects to raise the profile of those projects but this does not imply that we have any vested interest in individual project/s or endorse them in any way.

LEOcrowd is not involved in the development or the delivery of the Projects themselves, do not participate in the furnishing of Rewards and do not offer refunds to Backers. LEOcrowd does not hold funds on Project Creators behalf and cannot guarantee their work. When a Project is successfully funded, the funds are transferred directly to the Project Creator and are fully in the control of the Project Creator.

Project Creator’s Role

A Project Creator is a person or team who have created a Project to raise funds and offer Rewards.

Anyone that meets our Project Creator requirements (see Accessing and Using LEOcrowd above) is eligible to launch a project on LEOcrowd. The Project Creator is responsible for setting their Project's Funding Target and Fundraising Period. They are also responsible for providing accurate and acceptable content and only creating Projects/offering Rewards that are in accordance with our guidelines for the types of Projects/Rewards that are permissible (see FAQ’s for more info – this forms part of our Terms and Conditions).

When a Project has been successfully funded, the Project Creator is obligated to deliver the promised Rewards within the specified time frame, as denoted in the Project/Rewards specifics. Once the Project Creator has done so, then their obligation to their Backers is fulfilled.

However, as a Project Creator you must maintain throughout the process a high standard of integrity, honest communication with the Backers and a commitment to fulfilling the Project. If problems arise during the process, Project Creators must post an update notice as soon as possible to explain what work has been done, how funds have been used (if applicable), what the amended timescale will be and what prevents them from finishing the project as planned. Project creators must demonstrate that they have been honest and used funds appropriately i.e. for completing the Project and have made every effort to complete the project as promised. They must meet all the promises made in the Project including, but not limited to, delivering Rewards to Backers.

If a Project Creator is unable to complete their project and fulfil rewards, they must offer to return any remaining pledges to Backers who have not received their reward (in proportion to the amounts pledged), or else explain how those funds will be used to complete the project in some other form. Project Creators can also, at their discretion, refund individual pledges. After the project has been funded, Project Creators can cancel and refund a Backer's pledge at any time. If they do so, they have no further obligation to that specific Backer, and no further agreement exists between the Project Creator and this Backer.

A Project Creator is solely responsible for fulfilling the promises made in their Project specifics and if they are unable to honour the agreement between themselves and the Backers, then they may be subject to legal action by the Backers.

Project Creators are responsible for complying with all applicable laws and regulations in relation to their Project and are also responsible for the collection/payment of all applicable taxes (including Income Tax, VAT or similar) on any funds received and for paying all fees associated with LEOcrowd. Project Creators must not offer Rewards that are illegal, in violation of any of LEOcrowd’s policies, rules or guidelines (see FAQ’s for more details) or violate any applicable law, statute, ordinance or regulation.

Project Creators must not use any information we provide to them regarding Backers for any other purpose other than fulfilling a promised Reward or contacting the Backer in regard to the Project they have pledged to.

Backer’s Role

A Backer is someone who reviews the offered Projects on our platform, chooses one that he/she likes and pledges an amount towards that Project, dependant on the Rewards offered and the amount they wish to contribute. You can make a pledge by registering on our platform – please see Accessing and Using LEOcrowd above for more details on registering and eligibility.

Once the Backer chooses to pledge, he/she is entering into a contract with the Project Creator, which will come into effect if the Project is successfully funded. The terms of this contract are outlined in the Project specifics on the Project Creator’s Project page and in the more detailed description attached to each Reward. The Backer is agreeing to pay the specified amount if the Project reaches its Funding Target. The Backer acknowledges that any amount contributed to any Project does not entitle him/her to have any control, ownership or intellectual property rights over the Project. Once a Backer has made a pledge, he/she cannot change the Reward selected. If you wish to choose a different Reward, you can cancel your original pledge and make a different selection. However, during the last 24 hours of a Project, this can only be done by contacting Customer Support ([email protected]).

When a Backer makes a pledge, he/she will be asked to provide payment details but won’t be charged anything at this stage. Payment will only be collected if, when the Project reaches the end of its Fundraising Period, it has reached or exceeded its Funding Target. If a Project does not reach its Funding Target, then you will not be charged.

Occasionally, LEOcrowd and its payment partners may authorize or reserve a charge on your credit/debit card (or whatever payment method you use) for any amount up to the full pledge, at any time between the pledge and the collection of funds.

Backers remain in control of the amount pledged and you can change or cancel your pledge before the end of the Project’s Fundraising Period, except where a Project has reached its Funding Target before the end of the Fundraising Period. In this instance, you must contact the Project Creator to request that your pledge be cancelled. However, during the last 24 hours of a Project, Backers cannot decrease or cancel their pledge without first contacting Customer Support ([email protected]), if that action would drop the project below its Funding Target.

Backers should remain aware that any date offered by Project Creators regarding the timescale for delivery/production of Rewards may be subject to change and is at best only an estimated delivery date. We encourage Project Creators to attempt to be as accurate as possible with their estimated delivery date and to maintain open lines of communication with their Backers, if it is likely that the completion and delivery of the Project Rewards will not be accomplished within the specified timescales. This can be achieved by posting regular updates on the Project Creator’s Project Page. Backers are responsible for checking the Project Creator’s Project Page on a regular basis to remain aware of any changes to the Project. It is not the responsibility of LEOcrowd to contact Backers to make them aware of any changes.

Backers should also be aware that the Project Creator may need to contact the Backers to collect information to assist them in the delivery of Rewards i.e. Backer's mailing address, specific preferences of colour, design, size where relevant to the Reward chosen etc. Project Creators will request the information when a Project has successfully reached its Funding Target and to receive the Reward, Backers are required to provide the information in a timely manner. Backers should be aware that a Project Creator should not ask for personal information that is not pertinent to the provision of the Reward e.g. Bank/card details etc. If you receive a request for information that does not seem appropriate, then please contact us at [email protected].

It is advisable for Backers to remain patient and understanding throughout the process and address any concerns directly with the Project Creator via their Project Page.

Funding Overview

If Backers like a Project, they can pledge money to support it and if the Project succeeds in reaching its Funding Target, all Backers are charged when the Project reaches the end of its Fundraising Period. If the Project fails to reach its Funding Target, then no one is charged. However, if a Project successfully reaches its Funding Target before the end of its Fundraising Period, then any pledges made cannot be deleted without contacting the Project Creator directly.

Once a Project has reached the end of its Fundraising Period and is successful, then LEOcrowd.com will process the payments and deduct the relevant fees before putting funds in the Project Creator’s account (see FAQ’s for more detailed information regarding Fees). Project Creators should be aware that they will not be able to collect their funding immediately after the Project has ended successfully; there may be a delay between the end of a successful Project and their access to the funds.

Project Creators should be aware that at times, LEOcrowd will be unable to collect some payments due to circumstances beyond their control, which might reduce the amount of funding Project Creators receive e.g. when a Backer's credit card expires before the Fundraising Period ends and they have not provided an alternative payment method.

It is advisable that a Project Creator waits until the funds have been transferred to his/her account before taking any action that is dependant on receipt of the funds, as there may be delays due to unforeseen circumstance.
